Welcome to Nyva Wall Decor (operating under the domain nyva.cc). By accessing or using our website, placing an order, or purchasing any of our products, you agree to be bound by the following Terms and Conditions. Please read them carefully before making any purchase.

If you do not agree with any part of these terms, you must not use our website or services.

1. General

1.1 These Terms and Conditions constitute a legally binding agreement between you ("Customer", "Buyer", "Party A") and Nyva Wall Decor ("we", "us", "our", "Company", "Seller", "Party B").

1.2 We reserve the right to update, modify, or replace these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting on this page. It is your responsibility to review this page periodically for updates.

1.3 By placing an order on our website, you confirm that you have read, understood, and accepted these Terms and Conditions in full.

2. Products and Specifications

2.1 All WPC wall panels and related products listed on our website are described to the best of our ability. We strive to display product colors, textures, and finishes as accurately as possible. However, due to differences in screen displays and the natural properties of wood-plastic composite materials, minor variations in grain, color shade, and texture within the same batch may occur. Such variations are not considered product defects.

2.2 We reserve the right to make minor adjustments to product specifications, dimensions, or designs in order to improve quality or comply with regulatory requirements.

2.3 All product information, including pricing, availability, and descriptions, is subject to change without prior notice.

3. Orders and Acceptance

3.1 All orders placed through our website are subject to acceptance by us. We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to cases involving:

  • Product unavailability

  • Pricing errors

  • Suspicion of fraudulent or unauthorized transactions

  • Inability to verify shipping or payment information

3.2 Once your order is confirmed, we will send you an order confirmation via email. This confirmation does not constitute our acceptance of your order; it merely acknowledges that we have received it. Contract formation occurs only when we dispatch the goods and send you a dispatch confirmation.

3.3 Custom orders (including custom colors, custom sizes, or special cuts) cannot be changed or canceled once production has commenced.

4. Pricing and Payment

4.1 All prices on our website are quoted in Philippine Pesos (PHP) and are inclusive/exclusive of applicable taxes as displayed at checkout. A 12% Value-Added Tax (VAT) shall be applied in accordance with Philippine tax regulations.

4.2 We accept the following payment methods:

  • GCash (Philippine mobile payment)

  • Security Bank bank transfers

  • Other payment channels as may be made available on our website from time to time

4.3 Full payment must be received before the goods are released for pickup or dispatch, unless otherwise agreed in writing. Title to the goods shall remain with us until full payment has been cleared.

4.4 We reserve the right to adjust prices at any time. In the event of significant fluctuations in raw material costs (including PVC, wood powder, additives) or logistics costs, we may provide prior written notice of price adjustments.

5. Shipping, Pickup, and Delivery

5.1 All products are dispatched from our local warehouse in the Philippines.

5.2 You may choose either of the following pickup/delivery options:

  • Self-Pickup: Collect your order directly from our warehouse at no additional delivery charge.

  • Third-Party Courier: Arrange your own pickup via local transport services such as Lalamove or other freight providers. You are responsible for scheduling, freight costs, and all related arrangements.

5.3 Risk of Loss/Damage:

  • Prior to handover and loading at our warehouse, the risk of damage or shortage is borne by us.

  • Upon handover and your acknowledgment of receipt (or your designated logistics provider's receipt), all risks, including damage, shortage, or loss during transit, shall pass to you.

  • After delivery to your specified destination, any damage caused by improper unloading, mishandling, improper stacking, exposure to moisture, or external pressure shall be your sole responsibility.

5.4 Any delivery timelines provided are estimates only. We shall not be liable for delays caused by factors beyond our reasonable control.

6. Inspection and Acceptance

6.1 You must inspect the goods on the same day of pickup or delivery for quantity, appearance, and specifications.

6.2 Any claims for visible damage, shortages, or incorrect items must be reported to us in writing with supporting evidence (including photos) on the same day of receipt. Failure to do so shall be deemed acceptance of the goods as conforming to the order in terms of quantity and appearance.

6.3 Any hidden quality defects must be reported within seven (7) calendar days of receipt. After this period, the goods shall be deemed to have passed quality acceptance.

7. Warranty

7.1 We provide a limited warranty on our WPC wall panels covering the following inherent product defects:

  • Cracking

  • Delamination

  • Substantial fading

The warranty period commences from the date of completion of installation and acceptance.

7.2 The warranty does NOT cover damage caused by:

  • Failure to install in accordance with our provided installation guidelines

  • Unauthorized cutting, modification, or alteration

  • Use of non-original auxiliary materials (clips, edge strips, sealants, etc.)

  • Substrate moisture, water seepage, or damp wall conditions

  • External impact, man-made damage, or accidents

  • Prolonged unprotected exposure to outdoor sunlight or harsh weather conditions

7.3 If a valid quality defect is confirmed, we will provide replacement panels free of charge. However, all labor and incidental costs associated with replacement shall be borne by you.

8. Returns, Exchanges, and Cancellations

8.1 Standard Products: Finished products without quality defects are not eligible for return or exchange.

8.2 Custom Orders: Orders involving custom colors, custom sizes, or special cuts cannot be changed, canceled, or returned once production has commenced.

8.3 We reserve the right to refuse any return or exchange that does not comply with these Terms.

9. Installation and Technical Support

9.1 We may provide free installation drawings, construction guidelines, and remote technical support to assist you.

9.2 You are required to follow our standard installation procedures strictly. Any issues arising from improper installation (including but not limited to warping, excessive gaps, detachment, or deformation) shall not be covered by our warranty or liability.

9.3 If you require our on-site installation services, separate terms, rates, and safety responsibility agreements shall be mutually agreed upon.

10. Intellectual Property

10.1 All content on our website, including but not limited to text, images, logos, graphics, product designs, and software, is the intellectual property of Nyva Wall Decor or our licensors and is protected by applicable copyright, trademark, and intellectual property laws.

10.2 You may not reproduce, distribute, modify, or exploit any content without our prior written consent.

11. Limitation of Liability

11.1 To the fullest extent permitted by law, our total liability arising out of or in connection with these Terms or your use of our products shall not exceed the total purchase price paid by you for the specific product giving rise to the claim.

11.2 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

12. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, strikes, transportation disruptions, or supplier failures.

13. Governing Law and Dispute Resolution

13.1 TThese Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong" or "HK"), without regard to its conflict of laws principles.

13.2 Any dispute arising out of or relating to these Terms, your purchase, or our products shall first be resolved through friendly negotiation between both parties.

13.3 In the event that negotiation fails, either party may submit the dispute to the competent courts in the Philippines where we are domiciled. All reasonable costs incurred in enforcement of rights, including legal fees, litigation costs, and testing fees, shall be borne by the defaulting party.
